Installed VS10, ran it with 32bit compile on Perl 5.10 and it worked fine. I thought I needed 5.12 but apparently it doesnt. Cool.

Summary
=======
Win 7 Ultimate 64bit
VC++ 2010 Express
Perl 5.10
Successful 32bit compile
